Warehouse and industrial: your questions
What is ISRA, and does it apply when a warehouse or industrial property is sold?
The Industrial Site Recovery Act (ISRA) applies to industrial establishments, defined by the type of operations conducted there. A sale agreement, a transfer of ownership or operations, or closing operations can trigger it. The owner or operator must notify the NJ Department of Environmental Protection within five calendar days of the triggering event, and before ownership transfers there must be a response action outcome or certified remedial action workplan from a Licensed Site Remediation Professional, a remediation certification, or a Department authorization.
Does every warehouse fall under ISRA?
No. Coverage depends on whether the operations on the site make it an industrial establishment under the rules, not simply on the building type. Whether ISRA applies to a specific property is a question for an environmental attorney or Licensed Site Remediation Professional, and it should be answered before the contract is signed.
What specifications matter most when choosing a warehouse?
Start from your operation: clear height, the number and type of loading doors, truck court depth and trailer parking, column spacing, floor condition, power capacity, sprinkler system, office ratio and highway access. I build a requirements brief from your workflow so we compare buildings on what affects your costs, not just rent per square foot.
Does New Jersey’s Graduated Percent Fee apply to industrial property sales?
The Division of Taxation lists the property classes subject to the Graduated Percent Fee on sales over $1 million, and its Class 4A commercial category is described as commercial other than industrial or apartment. The standard Realty Transfer Fee still applies to the seller. Classification depends on how the property is assessed, so have your attorney confirm the fees for your deal.
How do I confirm zoning for warehouse, distribution or manufacturing use?
Check the municipality’s zoning ordinance for the exact use you plan, because warehousing, distribution and manufacturing are often listed separately and may carry conditions such as truck access or hours. Confirm with the zoning officer, and if a variance is needed, plan for a zoning board of adjustment application.
What environmental due diligence should a buyer or tenant consider?
Beyond any ISRA obligations, buyers commonly commission an environmental site assessment and review the site’s regulatory history before committing. Tenants should ask about prior uses and how the lease allocates environmental responsibility. Your environmental consultant and attorney set the scope.
Can an owner-user finance a warehouse with an SBA loan?
Possibly. SBA 504 and 7(a) loans can be used for owner-occupied real estate when the business occupies at least 51% of the rentable space in an existing building, or at least 60% in new construction. They are not available for speculative or rental investment property.
Is a bulk sale notice required when buying an industrial property?
Usually. Industrial real estate used for business is a business asset, so the buyer should file Form C-9600 with the Division of Taxation at least 10 business days before closing to avoid inheriting the seller’s state tax obligations.
